All materials, methodologies, frameworks, and deliverables created by Huntley Cross remain our intellectual property unless explicitly transferred in writing. Clients receive a license to use deliverables for their internal business purposes.
6. Confidentiality
We maintain strict confidentiality regarding all client information. We will not disclose your confidential information to third parties without your consent, except as required by law.
7. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the fees paid for the specific services in question
- We are not liable for indirect, incidental, or consequential damages
- We do not guarantee specific business outcomes from our consulting services
8. Indemnification
You agree to indemnify and hold harmless Huntley Cross and its employees from any claims, damages, or expenses arising from your misuse of our services or violation of these terms.
9. Termination
Either party may terminate the consulting relationship with 30 days written notice. Termination does not affect payment obligations for services already rendered.
10. Dispute Resolution
Any disputes arising from these terms or our services shall be resolved through:
- Good faith negotiation between the parties
- Mediation if negotiation fails
- Binding arbitration as a final resort
11. Governing Law
These Terms of Service are governed by the laws of the State of New York, United States, without regard to conflict of law principles.
12. Modifications to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
13. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
